Terms of Service
The agreement between you and TrueTranslate when you use our translation services.
These Terms of Service (the "Terms," "TOS," or "Agreement") govern your access to and use of truetranslate.org, including all content, pages, forms, portals, tools, order flows, upload features, document intake systems, tracking features, communications, and translation services made available through the website (collectively, the "Site" and "Services").
The Site and Services are operated by FILINGS ("FILINGS," "TrueTranslate," "we," "us," or "our").

By accessing the Site, submitting information, uploading documents, placing an order, making a payment, communicating with us, or otherwise using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.
1. Eligibility; Authority; Binding Effect
You represent and warrant that:
- you are at least 18 years old and legally competent to enter into this Agreement;
- all information you provide to us is truthful, current, accurate, and complete;
- if you act for another person or entity, you have full authority to act on that person's or entity's behalf and to bind them to these Terms; and
- your use of the Site and Services does not violate any applicable law, regulation, court order, or third-party right.
If you use the Site or Services on behalf of another person or entity, "you" includes both you and that person or entity, and you are jointly and severally responsible for all obligations, representations, warranties, consents, authorizations, and liabilities arising under these Terms.
2. Nature of Services; No Government Affiliation; No Legal or Immigration Advice
FILINGS is an independent, private translation company. We provide human translation services and, where requested, certification of those translations by way of a signed Certificate of Translation Accuracy, together with related add-on services such as notarization of the translator's certification, delivery of a notarized hard copy by mail, and apostille coordination, where offered.
We are not:
- a government agency, court, or immigration authority;
- the United States Citizenship and Immigration Services (USCIS) or any other receiving authority;
- a law firm or provider of legal or immigration advice;
- an accredited representative, attorney, or agent authorized to prepare or file immigration, legal, academic, or governmental applications on your behalf; or
- your fiduciary, escrow agent, or records custodian, except to the limited extent necessary to handle your documents in the ordinary course of providing the Services.
We do not provide legal advice, immigration advice, tax advice, compliance advice, or advice about whether any translation will be accepted by any particular authority, institution, court, employer, university, or end user. Any information on the Site or in communications is general information only and does not constitute legal or professional advice. You are solely responsible for determining the suitability of any Service for your purpose and for confirming all receiving-authority and end-user requirements before you order.
3. Scope of Translation Services
Subject to acceptance of your order, we offer human translation of documents between English and a wide range of languages, including certified translation, standard (non-certified) translation, and specialized translation (such as legal, medical, academic, business, and immigration content). Notarization, delivery of a notarized hard copy by mail, and apostille coordination are offered as optional add-ons.
A certified translation is a complete, accurate, human translation of your source document accompanied by a signed Certificate of Translation Accuracy (described in Section 4). Certified translations are priced per page. A page is up to 250 words of source text, including numbers, dates, stamps, and seal text; page counts are rounded up per document, with a minimum of one page per document. We count the words of each file when you upload it. If a file cannot be counted automatically (for example, an image-only or handwritten scan), our team counts it by hand, normally within one business hour, and emails you the exact quote; nothing is charged until you approve that quote. Certified translation is offered in three tiers, Economy, Standard, and Priority, which differ in delivery time and included revision allowance; the translation and certificate are the same. Priority is priced as the Standard rate plus a per-page Priority surcharge with a per-order minimum. A rare-language translator fee applies per page to certain languages and is shown at checkout. Spanish sworn and Spanish specialized translation are priced per page at their own rates, and professional (non-certified) translation is priced per source word with a minimum order. All per-page and per-word rates, surcharges, and add-on fees are displayed at checkout before payment.
Every order is delivered digitally as a PDF by email. Optional add-ons are itemized at checkout: notarization (a notary witnesses the translator's certificate and the notarized set is emailed); a notarized original hard copy mailed by USPS, which includes notarization and is expected within 5 to 12 business days in addition to the emailed PDF; and an apostille, priced per document, which requires notarization and carries one shipping charge per order based on the destination address. Extra certified PDF copies are free. Expected mail delivery windows are estimates only. We translate the content of the source document you provide as it appears; we do not add, remove, interpret, legalize, or verify the underlying facts, authenticity, or legal effect of any document, and we render illegible or ambiguous portions as such where required by professional standards.
4. Certificate of Translation Accuracy
When you order a certified translation, the completed translation is accompanied by a signed Certificate of Translation Accuracy. The certificate is a statement, in a form substantially similar to the following template, attesting to the translator's competency and to the completeness and accuracy of the translation:
"I, [translator or authorized representative of FILINGS], certify that I am competent to translate from [source language] into [target language], and that the attached translation is a true, accurate, and complete translation of the attached source document to the best of my knowledge and ability. Certified on [date] by FILINGS."
The Certificate of Translation Accuracy attests only to the linguistic accuracy and completeness of the translation relative to the source document provided to us. It does not attest to, verify, or guarantee the authenticity, validity, legal effect, or acceptance of either the source document or the translation, and it is not a notarization (see Section 5) or an apostille. The specific wording of the certificate is a template and may be adjusted to meet the stated requirements of a receiving authority where we are able to accommodate the request.
5. Certified vs. Notarized Translations
A certified translation is one accompanied by the signed Certificate of Translation Accuracy described in Section 4. A notarized translation is a certified translation whose Certificate of Translation Accuracy has additionally been signed in the presence of a notary public, who notarizes the identity and signature of the person signing the certificate.
Notarization confirms the identity of the signer of the certificate. It does not evaluate, improve, or attest to the accuracy of the translation itself. For United States immigration filings, USCIS requires a certified translation with a signed certification of accuracy; USCIS does not require the translation to be notarized. We offer notarization only as an optional add-on for those receiving authorities or recipients that specifically request it.
You are solely responsible for determining whether your receiving authority requires certification only, notarization, an apostille, or any other form of authentication, and for selecting the corresponding options before you order. Requirements differ by authority and country and may change without notice to us.
6. USCIS Acceptance Guarantee; Included Revisions
Accepted by USCIS or we fix it free. Every certified translation we deliver is prepared to meet the USCIS requirement of a complete translation accompanied by a signed certification of accuracy (8 CFR 103.2(b)(3)). If USCIS rejects a certified translation we delivered for a reason attributable to our translation or its certification, we will revise or re-translate the document free of charge and, if the corrected translation is still not accepted for that same reason, we will refund in full the amount you paid for that translation. This guarantee is subject to the following conditions:
- you provided complete, legible source documents and accurate instructions, and you did not alter the delivered translation or certificate;
- the rejection is attributable solely to the translation or its certification, and not to the source document, missing materials, filing errors, eligibility, formatting requested by you, or any decision of the authority unrelated to the translation;
- you notify us within thirty (30) days of the rejection and provide the written notice of rejection or an equivalent record identifying the reason; and
- the guarantee does not apply to standard (non-certified) translations, to acceptance by any authority other than USCIS unless expressly agreed in writing, or to the outcome, approval, or timing of any application.
Included Revisions. Economy includes up to two (2) revision rounds, and Standard and Priority include unlimited revision rounds, when requested within thirty (30) days of delivery and within the original order scope. A revision round is one consolidated correction request. Included revisions cover genuine errors in our translation. They do not include changes to the source document, new content, stylistic rewording, changes requested after you alter the delivered file, or reformatting beyond faithful reproduction of the source. We are not liable for delays, deadlines, missed filings, or consequences arising while a revision is being made.
7. Order Requests; Verification; Fraud Screening; Compliance; Right to Refuse or Stop
Submission of an order request or payment does not obligate us to accept, begin, continue, complete, or deliver any translation. We may, in our sole discretion and at any time, with or without notice, refuse service, pause service, request additional information, impose conditions, cancel an order, or stop work for any reason or no stated reason, including for operational, compliance, fraud-prevention, document-quality, legibility, verification, legal, sanctions, reputational, security, or risk-management reasons.
We may rely on the information, documents, and instructions you provide without independent investigation or verification. We have no obligation to detect errors, inconsistencies, forgery, fraud, or third-party rights issues in your source documents, though we may do so in our sole discretion.
You authorize FILINGS, directly or through third parties, to conduct any screening, review, or verification we deem appropriate, including verification of identity, authority, document source, signatures, contact details, beneficial ownership, intended use, shipping information, payment method, and compliance status.
You may not use the Site or Services for any unlawful, fraudulent, deceptive, abusive, or unauthorized purpose; submit forged, altered, stolen, fabricated, or misleading documents or information; impersonate another person or entity or misrepresent your authority; evade sanctions, export controls, anti-fraud rules, or legal restrictions; or expose FILINGS or its service providers to legal, regulatory, payment, security, or reputational risk. We may refuse, suspend, cancel, or terminate any matter, freeze processing, withhold release, deny shipment, or require additional documentation whenever we suspect fraud, identity theft, forgery, unauthorized use, restricted-party involvement, payment risk, sanctions issues, or another legal or compliance concern.
8. Customer Responsibilities; Documents; Originals; Shipping; No Bailment; Certification Acknowledgment
You are solely responsible for:
- providing accurate and complete information, instructions, the correct source and target languages, name spellings, and any special formatting or receiving-authority requirements;
- uploading source documents that are complete, legible, correctly oriented, and include all pages, sides, seals, and stamps to be translated;
- ensuring that you have all rights, authority, and permissions needed to submit each document and to have it translated;
- reviewing all order details, the detected or entered page count, and the language pair before payment, and promptly reviewing the delivered translation;
- determining whether you need certification, notarization, an apostille, or a mailed hard copy, and selecting the corresponding turnaround tier and add-ons before ordering; and
- complying with all laws and receiving-authority requirements applicable to your documents and their intended use; and
- when physical documents are required or requested, using proper packaging and a reliable tracked carrier, selecting insurance and declared value if desired, confirming delivery details, and retaining copies of everything you send.
Certification acknowledgment. By checking the required acknowledgment box and submitting your order, you affirm that: (a) the documents you uploaded are complete, legible, and unaltered; (b) you understand that we translate the content as it appears in the source you provide and are not responsible for information that is illegible, cut off, or omitted from your upload; (c) you understand that a certified translation is not the same as a notarized translation and that USCIS does not require notarization; and (d) you have confirmed the certification, notarization, and formatting requirements of your receiving authority. We record the timestamp of this acknowledgment with your order.
You acknowledge that incomplete, illegible, low-resolution, cut-off, inconsistent, delayed, or misleading source materials may result in refusal, cancellation, delay, additional fees, loss of the estimated turnaround window, exclusion from the guarantee in Section 6, or inability to complete the Services.
Documents and materials may be transmitted, printed, copied, scanned, routed, handled, submitted, stapled, fastened, packaged, stored, moved, or otherwise processed in the ordinary course of providing the Services. To the maximum extent permitted by law, all risk of loss, delay, theft, damage, misdelivery, seizure, hold, customs issue, or destruction in transit or while in the possession of third-party carriers, intermediaries, authorities, mailrooms, processors, or subcontractors remains with you. We do not insure your documents unless we expressly state otherwise in writing.
Submitting a physical document does not create a bailment, fiduciary duty, safekeeping obligation, storage agreement, or special duty of care. FILINGS is not a vault, archive, records custodian, or storage provider.
9. Fees; Payment Authorization; Taxes; Refunds
All prices, fees, per-page and per-word rates, Priority surcharges, rare-language translator fees, add-on charges (including notarization, the notarized hard copy, apostille, and apostille shipping), taxes, and pass-through costs are displayed at checkout and are subject to change at any time before acceptance of an order. We do not offer bundles, coupons, first-order discounts, or page-volume discounts. Repeat customers receive a flat $5 credit toward their next order after each completed translation; the credit has no cash value and cannot be exchanged for a refund.
By submitting payment, you authorize FILINGS and its payment processors to charge your selected payment method for all amounts associated with your order, including translation fees, add-ons, shipping-related charges, taxes, adjustments, reprocessing charges, correction fees for changes outside our free-revision commitment, resubmission fees, carrier surcharges, pass-through government or apostille fees advanced on your behalf, and any other amounts arising from your instructions, your errors, or third-party requirements.
Refunds. Because translation is a professional, labor-based, and largely digital service, the following refund framework applies, in addition to the USCIS Acceptance Guarantee and free-revision commitments in Section 6:
Except for refunds or credits expressly described in Section 6 or this Section 9, or expressly required by applicable law, all sales are final and payments are non-refundable and non-creditable once made.
- before a translator has been assigned to your order, you may cancel for a full refund;
- once a translator has been assigned, fees for work performed are generally non-refundable, because the work product is being produced for you;
- after delivery, genuine errors in our translation are corrected free of charge under Section 6; no refund is owed for a change of mind, for changes in your plans or requirements, or for a decision not to use the translation;
- if we miss a Priority turnaround promise, the Priority surcharge is refunded automatically to the original payment method; the Standard rate for the translation is not refunded on that basis;
- apostille and apostille shipping charges are refundable only before the document has been submitted for apostille; notarization and hard-copy charges are non-refundable once the notarization has been performed or the hard copy has been mailed;
- no refund or credit is owed for rejection or non-acceptance that is not attributable to our translation, for illegible or incomplete source documents, for duplicate orders, or for our inability to contact you; and
- digital delivery of a completed translation is treated as fulfillment of the order.
Any refund, adjustment, accommodation, or credit beyond the Section 6 guarantee is discretionary, may be conditioned as we choose, does not waive any rights, and does not create any obligation in any other case. Refunds, where owed, are issued to the original payment method.
10. Chargebacks; Payment Disputes; Collections
You agree to contact us first at contact@truetranslate.org and provide a good-faith opportunity to address any billing or quality concern, including by requesting a revision under Section 6, before initiating a chargeback, payment dispute, reversal, or claim with any payment processor, issuer, bank, or platform.
If you initiate or threaten a chargeback, reversal, or payment dispute, or if any payment is reversed, declined, clawed back, or deemed high risk, we may, in our sole discretion:
- stop work immediately;
- suspend or terminate access, processing, or delivery;
- withhold release of the completed translation or certificate to the extent permitted by law;
- require cleared alternative payment before resuming any Services;
- contest the dispute and provide records regarding your order, communications, acceptance of these Terms, the certification acknowledgment, and delivery/performance data; and
- pursue collection of all amounts owed, plus administrative charges, collection costs, processor fees, attorneys' fees where permitted, and other recovery expenses.
11. Turnaround Times; Timing Statements; No Guarantee
Turnaround promises are stated in business hours and depend on the tier and billable page count. Economy is 72 business hours for every page count. Standard is 24 business hours for 1 to 3 pages and 48 for more than 3 pages. Priority is 12 business hours for 1 to 3 pages and 24 for more than 3 pages. Turnaround is counted from order confirmation, meaning the later of cleared payment and receipt of complete, legible source documents, and excludes weekends and US federal holidays, time awaiting your response or clarification, notarization, apostille, mail transit, third-party turnaround, and matters outside our control. Expected mail delivery windows are estimates only.
We do not guarantee:
- acceptance of any order;
- delivery by any particular date or time, except that a missed Priority promise triggers the automatic Priority surcharge refund;
- acceptance by USCIS, any other authority, institution, employer, or end user, except as expressly provided in the Section 6 guarantee; or
- that any translation, certificate, or result will satisfy your intended purpose.
You assume all deadline risk beyond the remedies expressly stated in these Terms.
12. Confidentiality; Non-Disclosure; Data Security
We treat the documents and personal information you submit as confidential and use them only to provide, support, secure, and administer the Services, to comply with law, and as otherwise described in our Privacy Policy. We do not sell your documents or the personal information contained in them.
Translators, reviewers, notaries, and other personnel or subcontractors who handle your documents are bound by confidentiality and non-disclosure obligations, and access is limited to those who need it to perform or support your order. On request, and where reasonably practicable, we can provide or accommodate a non-disclosure arrangement for sensitive projects.
We use administrative, technical, organizational, and physical safeguards designed to protect your documents and information, including encryption in transit and, where supported, encryption at rest, access controls, and monitoring. No method of transmission, storage, or processing is fully secure, however, and we do not guarantee absolute security. You should not submit any information or document you are not authorized to share or that you do not want stored, transmitted, reviewed, and processed as permitted under these Terms and the Privacy Policy.
13. Third-Party Translators and Service Providers
We may use professional translators, reviewers, notaries, couriers, shipping providers, payment providers, hosting and cloud providers, communications providers, software vendors, subcontractors, and other service providers, each bound by appropriate confidentiality obligations, to perform or support any portion of the Services.
You authorize us to disclose and transmit your information, documents, and instructions to such parties to the extent we deem necessary or useful to provide, review, certify, notarize, ship, secure, or administer the Services.
Third parties are independent parties and not our insurers or guarantors. We are not responsible for their acts, omissions, delays, service levels, security incidents, delivery issues, system failures, or other performance, except to the extent expressly stated in these Terms.
14. Privacy; Data Handling; Records
Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and which describes how we collect, use, store, secure, retain, and delete your information and documents.
You authorize us and our service providers to collect, receive, store, process, copy, transmit, review, use, and disclose your information and documents as described in the Privacy Policy and as we reasonably deem necessary to provide, administer, secure, support, improve, verify, enforce, and document the Site and Services, and to comply with legal, tax, accounting, payment, and fraud-prevention requirements.
You acknowledge that we may retain records, communications, uploads, delivered translations, certificates, and payment metadata for the periods described in the Privacy Policy, and that you may request deletion as described there, subject to our legal, compliance, and recordkeeping needs.
15. Corrections; Rework; Additional Fees
Genuine errors introduced by us are corrected under the free-revision commitment in Section 6. If a matter instead requires new translation, changes to the source, additional pages, expedited handling, re-certification, notarization, re-shipping, or other work beyond that commitment, including because of your changed instructions, new requirements, or a third-party demand, we may require additional fees before taking any further action.
We have no obligation to perform work outside the free-revision commitment unless and until all requested fees are paid and all requested materials are provided.
16. Communications; Electronic Records; E-Sign Consent
You consent to receive all communications from us electronically, including notices, disclosures, agreements, invoices, receipts, requests, updates, delivered translations, certificates, and records, by email, through the Site, by posting, or by other electronic means. Electronic communications satisfy any legal requirement that such communications be in writing.
You consent to the use of electronic signatures, electronic records, electronic checkboxes, electronic acceptance flows, and electronic order and acknowledgment confirmations. You agree that your electronic submission, use of the Site, checking of a required acknowledgment box, or payment constitutes your signature and intent to be bound.
You are solely responsible for:
- providing and maintaining a valid email address and contact information;
- checking your email and spam folders;
- ensuring that you can receive, open, and retain electronic records and delivered files; and
- updating your information promptly.
We are not responsible for undelivered emails, spam filtering, inbox issues, technical failures, or your inability to access electronic records.
17. Acceptable Use; Site Restrictions
You agree not to:
- access or use the Site or Services in violation of law or to have unlawful, forged, altered, or fraudulent documents translated or certified;
- misrepresent a translation or our certification, alter a delivered translation or Certificate of Translation Accuracy, or present an altered document as our work product;
- interfere with or disrupt the Site or Services;
- probe, scan, or test vulnerability, or bypass or circumvent security or access controls;
- upload malicious code or harmful material;
- scrape, crawl, harvest, mirror, frame, or systematically extract data or content;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the Site;
- use any robot, spider, or automation except as expressly authorized by us;
- impersonate us or misrepresent affiliation with us; or
- use the Site in any way that could burden, disable, damage, or impair the Site or our operations.
We may monitor use of the Site and may block, limit, suspend, or terminate access at any time, with or without notice.
18. Intellectual Property; Ownership of Translations
The Site and all content, designs, text, graphics, logos, trade names, service marks, interfaces, forms, templates (including the Certificate of Translation Accuracy template), software, compilations, and other materials made available by us are owned by FILINGS or our licensors and are protected by intellectual property and other laws.
Upon full payment for your order, and subject to these Terms, you own the delivered translation of your document and may use it for your intended purpose. We retain ownership of our templates, software, systems, and methods, and we may retain copies of your order, the delivered translation, and the certificate for the recordkeeping, security, legal, and support purposes described in the Privacy Policy.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for your own lawful use in connection with the Services. We reserve all rights not expressly granted.
If you provide feedback, suggestions, ideas, or comments regarding the Site or Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable right to use them for any purpose without restriction or compensation.
19. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, EXCEPT FOR THE EXPRESS COMMITMENTS SET FORTH IN SECTION 6.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILINGS DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, AUTHORITY OR INSTITUTIONAL ACCEPTANCE, RESULT, TIMELINESS, COMPATIBILITY, SECURITY, OR AVAILABILITY.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
- THE SITE OR SERVICES WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- DEFECTS WILL BE CORRECTED;
- ANY CONTENT, COMMUNICATION, FILE, OR SYSTEM IS FREE OF VIRUSES OR HARMFUL COMPONENTS;
- ANY ORDER WILL BE ACCEPTED, TRANSLATED, CERTIFIED, COMPLETED, OR DELIVERED;
- ANY TRANSLATION OR CERTIFICATE WILL BE ACCEPTED BY ANY AUTHORITY, INSTITUTION, OR END USER, EXCEPT AS EXPRESSLY PROVIDED IN SECTION 6; OR
- ANY ESTIMATE, TURNAROUND, STATUS UPDATE, OR COMMUNICATION WILL PROVE ACCURATE.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILINGS AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, TRANSLATORS, LICENSORS, SUBCONTRACTORS, VENDORS, PROCESSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, ENHANCED, OR MULTIPLE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, USE, DATA, GOODWILL, REPUTATION, IMMIGRATION OR APPLICATION OUTCOME, DEADLINE, OR SUBSTITUTE PROCUREMENT COSTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY CLAIM, DAMAGE, LOSS, COST, OR EXPENSE ARISING OUT OF OR RELATED TO:
- acceptance, rejection, action, or inaction by USCIS, any other authority, institution, employer, university, or end user;
- the source document you provided, including illegible, incomplete, altered, or inaccurate content;
- deadlines, urgency, or missed filings;
- notarization, shipping, apostille, or customs issues;
- data issues, transmission issues, or systems issues;
- third-party acts or omissions;
- fraud, forgery, identity theft, or unauthorized submissions by any person;
- your instructions, changes, or errors;
- suspension, cancellation, or refusal of service; or
- any matter outside our control.
IF, NOTWITHSTANDING THE FOREGOING, LIABILITY IS IMPOSED ON FILINGS, THEN TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF FILINGS FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, SERVICES, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO FILINGS FOR THE SPECIFIC ORDER DIRECTLY GIVING RISE TO THE CLAIM, OR (B) U.S. $100.
THE LIMITATIONS IN THESE TERMS APPLY REGARDLESS OF THE FORM OF ACTION AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND DO NOT LIMIT THE EXPRESS REMEDIES PROVIDED IN SECTION 6.
21. Release
To the maximum extent permitted by law, you release FILINGS and its owners, members, managers, officers, directors, employees, agents, contractors, translators, licensors, affiliates, processors, and service providers from all claims, demands, actions, damages, liabilities, and losses arising from or related to third-party acts, authority or institutional decisions, shipping events, customs events, fraud by others, document authenticity disputes, identity disputes, payment disputes, or your use of the Site or Services, except to the extent such release is prohibited by applicable law or conflicts with the express commitments in Section 6.
22. Indemnification
You agree to defend, indemnify, and hold harmless FILINGS and its owners, members, managers, officers, directors, employees, agents, contractors, translators, licensors, affiliates, processors, and service providers from and against any and all third-party claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees and collection costs, arising out of or related to:
- your use of the Site or Services;
- your documents, materials, uploads, information, or instructions;
- your breach of these Terms or the Privacy Policy;
- your violation of law or third-party rights;
- fraud, forgery, misrepresentation, identity misuse, or unauthorized activity connected to your order;
- any dispute over ownership, authority, authenticity, consent, or intended use of any document or information you submit; or
- any use, alteration, or misrepresentation by you of a delivered translation or certificate.
We may assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree to cooperate fully.
23. Suspension; Termination
We may suspend, restrict, cancel, or terminate your access to the Site or Services, any order, or any communication channel, immediately and without liability, at any time and for any reason or no stated reason, including if:
- you breach these Terms;
- we suspect fraud, abuse, or unauthorized activity;
- payment is reversed, disputed, or high risk;
- required information or legible source documents are missing or cannot be verified;
- continued service could create legal, reputational, operational, or compliance risk; or
- we discontinue or modify any portion of the Site or Services.
Termination or suspension does not entitle you to any refund, credit, or compensation beyond amounts, if any, owed under Section 6 or Section 9.
24. Retention; Abandoned Materials; Disposal
If you fail to respond, fail to provide requested information or legible source documents, fail to pay requested fees, fail to provide shipping details, or otherwise leave an order incomplete, inactive, or unclaimable, we may treat the order and any associated materials as abandoned.
After thirty (30) days from our last request, notice, or attempted contact, we may, in our sole discretion and without further notice:
- close the order;
- assess reasonable handling, return, or disposal fees where applicable;
- delete, purge, or dispose of physical or electronic materials in accordance with our retention practices; and
- cease any further obligation relating to the order.
We are not liable for any consequence of abandonment, deletion, destruction, or disposal carried out under this section or under our stated retention practices.
25. Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
(a) Mandatory Informal Resolution
Before starting arbitration or filing any claim, you must first send a detailed written notice of dispute to contact@truetranslate.org, including your full name, contact information, order information, and a description of the claim and requested relief. You agree to allow at least thirty (30) days after such notice for informal resolution.
(b) Binding Arbitration
Except for claims that qualify for small claims court and except for claims by FILINGS seeking injunctive or equitable relief relating to misuse of the Site, intellectual property, confidential information, payment recovery, fraud, abuse, or unauthorized access, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be resolved exclusively by final and binding arbitration.
The arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules in effect at the time the claim is filed, except as modified by these Terms.
Judgment on the award may be entered in any court of competent jurisdiction.
(c) Arbitration Format
To the fullest extent permitted by applicable rules and law, arbitration may be conducted on written submissions, by remote appearance, by telephone, by video conference, or by an in-person hearing as determined by the arbitrator or applicable AAA rules.
(d) Individual Claims Only; Class Action Waiver
YOU AND FILINGS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING.
UNLESS BOTH YOU AND FILINGS EXPRESSLY AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, MASS, OR REPRESENTATIVE PROCEEDING.
(e) Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND FILINGS WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING PERMITTED TO PROCEED IN COURT.
(f) Opt-Out
You may opt out of this arbitration section by emailing contact@truetranslate.org within thirty (30) days after you first accept these Terms. Your email must include your full legal name, contact information, and a clear statement that you are opting out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.
26. Governing Law
These Terms, and any dispute arising out of or related to the Site or Services, shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent preempted or displaced by applicable federal law or the arbitration rules governing a particular dispute.
27. Time Limit to Bring Claims
To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Site, the Services, or these Terms must be commenced within one (1) year after the claim or cause of action arose, or it is permanently barred.
28. Changes to Site, Services, Prices, or Terms
We may, at any time and in our sole discretion, modify, suspend, discontinue, restrict, replace, or update any portion of the Site, Services, pricing, policies, content, features, workflows, availability, or these Terms, with or without notice.
Updated Terms are effective when posted, unless a different effective date is stated. Your continued access to or use of the Site or Services after updated Terms are posted constitutes your acceptance of the revised Terms.
29. No Reliance; Entire Agreement
You acknowledge that you have not relied on, and these Terms are not modified by, any oral statement, prior dealing, draft language, estimate, FAQ, support communication, marketing statement, status update, sample, expectation, or representation not expressly set forth in these Terms or in a separate written agreement signed by an authorized representative of FILINGS.
These Terms and the Privacy Policy constitute the entire agreement between you and FILINGS regarding the Site and Services and supersede all prior or contemporaneous understandings, communications, and proposals relating to the same subject matter.
30. Assignment
You may not assign, delegate, transfer, or sublicense any rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void.
We may assign, delegate, or transfer these Terms, in whole or in part, without notice or consent, including in connection with any merger, acquisition, restructuring, financing, asset sale, or internal reorganization.
31. Severability; Waiver; Interpretation
If any provision of these Terms is held unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permitted and the remainder shall remain in full force and effect.
No failure or delay by FILINGS in exercising any right, remedy, or provision shall operate as a waiver.
Headings are for convenience only and do not affect interpretation. "Including" means "including without limitation."
32. Force Majeure
We are not liable for any delay, suspension, interruption, error, loss, or failure resulting from causes beyond our reasonable control, including acts of God, weather, war, terrorism, civil unrest, strikes, labor shortages, utility interruption, internet or telecom outages, software or hosting failure, cyber incidents, carrier disruption, payment processor disruption, authority closure, backlog, policy change, epidemic, pandemic, embargo, governmental action, or any other force majeure event.
